About the Role: Legal Specialist

NCR VOYIX is seeking a skilled and detail-oriented Legal Specialist to join its Mumbai team. The role involves performing all functions of a Company Secretary, ensuring compliance with the Companies Act, 2013, and managing corporate governance responsibilities. The Legal Specialist will provide administrative support, maintain statutory registers, and ensure all filings, returns, and compliance-related tasks are managed efficiently.

Key Responsibilities:

Corporate Governance and Secretarial Services:

• Oversee corporate secretarial compliance and filing processes for the company and its subsidiaries.
• Maintain statutory registers, minute books, and act as the custodian of corporate records.
• Handle the filing and registration of documents, forms, and returns on behalf of the company.
• Organize and coordinate board, general, and extraordinary general meetings, managing follow-up actions.
• Manage the formation and incorporation of companies and tasks related to shares, securities, and their transfer.
• Conduct secretarial and compliance audits, sign financial statements and annual returns, and manage other compliance-related certifications.
• Advise on best practices in corporate governance and ensure adherence to prescribed norms, laws, and regulations.
• Assist in the development and implementation of a corporate and social responsibility framework.

Administrative Support:

• Provide administrative support to the legal team and coordinate with internal and external stakeholders.
• Support the legal operations by organizing meetings, maintaining document repositories, and updating templates.

Qualifications:

• Qualified and registered member of the Institute of Company Secretaries of India.
• 5-7 years of experience as a Company Secretary in a multinational environment.
• Proficient in Microsoft Excel, Word, and PowerPoint, with strong communication skills.
• A collaborative team player who can work independently and handle multiple tasks under tight deadlines.
• Detail-oriented with a proactive approach to work and problem-solving.
• Fluency in English is required.
