About the Role

The Legal Specialist role at OXYZO Financial Services is an opportunity for experienced legal professionals to contribute to the compliance and legal risk management of one of India’s leading NBFCs. This role focuses on managing the legal aspects of financial lending, ensuring compliance with regulatory requirements, managing contracts, and advising management on legal and regulatory matters. The ideal candidate will independently handle legal responsibilities and play a central role in creating and implementing legal policies, drafting and reviewing loan documentation, and managing Non-Convertible Debenture (NCD) compliance.

  • Location: Gurugram, Haryana, India
  • Mode: Full-Time, In-Office
  • Eligibility: LL.B or LL.M with at least 2 years of experience in a legal role, preferably within NBFCs, banks, or financial institutions

Key Responsibilities

  1. Legal Compliance and Monitoring
    • Ensure compliance with loan documentation by overseeing all pre- and post-loan conditions.
    • Manage compliance for Non-Convertible Debentures (NCDs), preparing and reviewing necessary legal documentation to meet regulatory requirements.
    • Work closely with internal and external stakeholders to maintain high standards of compliance within financial transactions.
  2. Regulatory and Legal Advisory
    • Provide legal counsel and guidance to the management and functional teams, advising on complex regulatory issues that arise in day-to-day operations.
    • Support senior management with legal advice on evolving NBFC regulations, including RBI guidelines and other applicable legal standards.
    • Stay updated on relevant regulatory developments, ensuring that OXYZO’s operations adhere to the latest standards and best practices.
  3. Contract Management
    • Draft, review, and negotiate a variety of contracts with clients and partners, ensuring alignment with company policies and legal standards.
    • Handle contract management, maintaining a structured process to ensure that contracts are executed, stored, and reviewed with precision.
    • Conduct risk assessments of contract terms to mitigate any potential legal liabilities.
  4. Policy and Procedure Development
    • Develop and enhance legal documentation, policies, and procedures for the NBFC, with a focus on aligning practices with legal and regulatory standards.
    • Collaborate with cross-functional teams to implement policies effectively, ensuring all departments comply with the legal framework.
  5. Stakeholder Communication
    • Serve as the primary legal contact for internal stakeholders, addressing inquiries and coordinating with external legal counsel as necessary.
    • Communicate complex legal matters to non-legal stakeholders in a clear and concise manner, enhancing understanding and compliance across departments.
  6. Documentation and Due Diligence
    • Oversee the preparation of due diligence reports and documentation needed for significant business transactions.
    • Support senior management during audits and regulatory reviews by ensuring that all legal documentation is organized, accurate, and readily available.

Ideal Candidate Profile

  • Education: LL.B or LL.M from a recognized institution, with a strong foundation in corporate law and regulatory compliance.
  • Experience: Minimum of 2 years in a legal role within the financial services sector, ideally within NBFCs, banks, or financial institutions. Familiarity with RBI regulations and NCD compliance is a strong asset.
  • Skills:
    • Contract Management: Skilled in drafting, reviewing, and negotiating contracts, with a focus on mitigating risks and ensuring compliance with legal standards.
    • Legal Compliance: Comprehensive understanding of NBFC regulations, NCD documentation, and lending compliance.
    • Communication and Analytical Skills: Exceptional written and verbal communication, with strong analytical abilities to assess legal risks and suggest actionable solutions.
    • Stakeholder Management: Demonstrated ability to engage with internal and external stakeholders, providing concise explanations of complex legal topics.
  • Attributes:
    • Meticulous attention to detail and strong organizational skills
    • Ability to work independently and take ownership of legal responsibilities within the company
    • High degree of integrity, professionalism, and accountability in handling sensitive information

Preferred Background

  • Industry Experience: Experience with NBFCs, financial institutions, or banks is preferred.
  • Technical Knowledge: Proficiency in managing compliance for loan documentation, familiarity with RBI guidelines, and expertise in NCD requirements.
